Client Service Agreement
This is the standard agreement I use for custom automation and AI tooling projects. The project-specific details are filled in per client before signing.

01 Services
The Provider will design, build and deliver a custom software system ("the System") according to the Project Scope below. Work may include content and social automation; AI image and video generation; 3D and design-asset generation; desktop tools and executables; and automated reports, data pipelines or integrations. The exact deliverables and timeline are defined in the Project Scope.
02 What is not included
The Provider does not provide financial, legal or tax advice, hold or move Client funds, guarantee specific outcomes (such as followers, engagement or sales), or provide hosting or servers unless stated in the Project Scope.
03 Delivery & acceptance
The Provider delivers the System per the Project Scope. The Client has 7 calendar days from delivery to test and report defects; if none are reported, the System is considered accepted. Defects reported within that window are fixed at no additional cost. Items not listed in the Project Scope require a separate agreement.
04 Payment
Total project fee: amount EUR. Schedule: 50% before work begins, 50% on delivery and acceptance. Fees are non-refundable after the acceptance period. Paid by bank transfer or card (for example via Revolut); details on the invoice.
05 Care plan & monthly retainer (optional)
Ongoing work can be arranged on a recurring monthly basis — a care plan (monitoring, breakage fixes and platform-change updates) and/or a monthly retainer for continued support, account management, new features and additional automation work.
06 Client responsibilities
The Client agrees to provide the access and credentials needed to build the System; give clear specifications and respond to questions within about 48 hours; test the System during the acceptance period; comply with the relevant third-party platform terms and keep their own accounts in good standing; and not resell or redistribute the System without written permission.
07 Intellectual property
On full payment, the Client owns the delivered System and its source code and may use and modify it indefinitely. The Provider retains general reusable libraries and components created before or independently of the project. The Provider may reference the project in a portfolio without disclosing confidential details.
08 Confidentiality
Both parties keep shared proprietary information confidential. The Provider will not share the Client's data, credentials or business information; the Client will not share the System's source code or implementation details.
09 Limitation of liability
The System is provided "as is", with no guarantee of specific outcomes or of uninterrupted operation. The Provider is not liable for losses arising from third-party platform or service changes or actions (including account suspensions), or from misuse or modification of the System. The Provider's total liability is limited to the fees paid for the project.
10 Support & maintenance
The System is delivered as a one-time build, including a 30-day bug-fix period at no additional cost. Further features, changes or support are billed separately or covered by a care plan (section 05).
11 Termination
Either party may terminate this Agreement in writing. If terminated before delivery, completed work is invoiced, any prepayment beyond that is refunded, and the Client's materials are returned.
12 Governing law
This Agreement is governed by the laws of Romania. Disputes are resolved through good-faith negotiation before any legal action.
